This Client Agreement (“Agreement”) is entered into by and between Broxley (hereinafter referred to as “the Company”) and the client (“you” or “the Client”). By using the services provided by Broxley, you acknowledge and agree to the terms and conditions outlined in this Agreement. This Agreement serves as a binding legal contract between Broxley and its clients. By creating an account, accessing the platform, or engaging in trading activities, you acknowledge that you have read, understood, and agreed to abide by the terms of this Agreement. These terms apply to all services offered by the Company and govern the rights and obligations of both parties. If you do not accept these terms in their entirety, you must refrain from using the platform.
To use Broxley’s services, you must meet specific eligibility criteria. This includes being of legal age in your jurisdiction, having the legal capacity to enter into binding agreements, and not being a resident of a restricted or prohibited jurisdiction. Broxley reserves the right to verify your eligibility by requesting identification documents and conducting due diligence. Accounts found to violate these criteria may be suspended or terminated immediately, with access to funds subject to legal and regulatory compliance.
To open an account with Broxley, you must provide accurate and complete personal information, including your full name, address, contact details, and financial information. Any falsified or misleading information may result in account suspension or termination. You are responsible for maintaining the security of your account credentials and are liable for all activities conducted under your account. Should you suspect unauthorized access, you must notify the Company immediately to prevent further misuse.
The Broxley platform is provided as a tool to facilitate trading and investing in financial instruments, including forex, options, and precious metals. You agree to use the platform solely for legitimate purposes and in compliance with all applicable laws and regulations. Any misuse of the platform, such as unauthorized access, market manipulation, or fraudulent activities, will result in immediate account suspension and may be reported to relevant authorities for further action.
5. Risk Acknowledgment
Trading in financial markets carries inherent risks, including the potential for substantial losses. By using the Broxley platform, you confirm that you understand these risks and accept full responsibility for your trading decisions. The Company does not provide guarantees of profit or protection against losses. You are encouraged to evaluate your risk tolerance and seek independent financial advice before engaging in trading activities.
Broxley applies transparent fees and charges for the use of its services. These fees may include trading commissions, withdrawal charges, and maintenance fees for inactive accounts. All fees are disclosed on the platform and are subject to periodic review and adjustment. It is your responsibility to review and accept applicable fees before conducting any transaction. Non-payment of fees may result in restricted access to your account or suspension of services.
Clients may deposit and withdraw funds to and from their Broxley accounts through approved payment methods. All deposits must originate from accounts registered in your name, and withdrawals will only be processed to verified accounts. The Company reserves the right to request additional documentation to verify the source of funds and ensure compliance with anti-money laundering (AML) regulations. Delays in processing may occur due to third-party payment providers or incomplete documentation.
The use of leverage in trading can amplify both potential gains and losses. By engaging in margin trading, you accept the heightened risk of loss, which may exceed your initial deposit. Broxley reserves the right to adjust margin requirements based on market conditions and regulatory changes. Failure to maintain the required margin levels may result in the automatic liquidation of your positions without prior notice.
Broxley actively monitors all transactions to ensure compliance with applicable laws, including AML and counter-terrorism financing (CTF) regulations. Suspicious transactions may be flagged for further investigation, and relevant authorities may be notified. The Client agrees to provide all necessary information and documentation to facilitate this monitoring process.
Client funds are held in segregated accounts separate from the Company’s operating funds. This ensures that your investments are safeguarded in the event of Company insolvency or operational disruptions. While Broxley employs advanced encryption and security protocols to protect your funds, the Company cannot guarantee immunity from external cyber threats.
The Company collects and processes personal data in accordance with its Privacy Policy. This data is used to enhance your experience, ensure compliance, and improve services. Broxley does not sell or share your personal data with unauthorized third parties. By using the platform, you consent to the collection and use of your data as outlined in the Privacy Policy.
Broxley reserves the right to impose restrictions on specific trading activities to maintain a secure and compliant trading environment. These restrictions may include limiting access to certain instruments, imposing leverage caps, or prohibiting trading during volatile market conditions.
Clients are strictly prohibited from engaging in activities such as market abuse, insider trading, money laundering, or the use of automated trading systems that violate platform policies. Any violation will result in immediate action, including account suspension and notification to regulatory authorities.
All official communications from Broxley will be sent via email or through the platform’s notification system. It is your responsibility to ensure that your contact information is accurate and to regularly review communications. Failure to act on important notices does not absolve you of your obligations.
Broxley is not liable for losses arising from trading activities, system failures, or third-party service disruptions. The Company’s liability is limited to the funds held in your account at the time of the incident.
The Company reserves the right to update or modify this Agreement to reflect changes in regulations, market conditions, or operational requirements. Clients will be notified of significant changes, and continued use of the platform constitutes acceptance of the revised terms.
Broxley reserves the right to suspend or terminate accounts that fail to comply with this Agreement or applicable laws. Suspended accounts may be subject to additional verification requirements, and access to funds may be restricted until compliance is achieved.
Disputes arising under this Agreement must first be addressed through Broxley’s internal dispute resolution process. If a resolution cannot be reached, the dispute may be escalated to arbitration or the courts of competent jurisdiction.
This Agreement is governed by the laws of the jurisdiction in which Broxley operates. Any legal proceedings must be initiated in the courts of this jurisdiction.
Broxley is not liable for delays or failures caused by events beyond its control, including natural disasters, regulatory changes, or cyberattacks.
Clients are responsible for their trading decisions and outcomes. Broxley provides tools and resources but does not offer financial advice or guarantees of success.
Broxley offers educational content to enhance client knowledge and understanding of financial markets. These materials are for informational purposes only and do not constitute investment advice.
Clients using automated trading systems must ensure their compliance with this Agreement. Broxley is not responsible for errors or losses arising from such systems.
Accounts with no activity for an extended period may incur inactivity fees or be closed after notifying the Client.
